1. Introduction

Welcome to Vakeel AI Solution Private limited ("Platform", "we", "our", "us").

These Terms of Service ("Terms") explain the rights and responsibilities between Vakeel AI Solution Private Limited and every person or organisation ("you", "user", "subscriber") using our services.

By creating an account, subscribing, or accessing the Platform, you confirm that you have read and agreed to these Terms.

2. Our Services

Vakeel AI provides integrated digital tools and platform for legal professionals, including:

• Case Management System for organising matters, documents, and hearings.
• AI-powered Legal Research (Vakai) for superior judgment search and legal analysis, and DraftGen for all your drafting and conveyancing needs.
• Invoice and Billing Generator for creating professional invoices.
• Learning Platform and Internship Modules for students and firms.
• Chat, Video Conference and Social Networking features for collaboration within the legal community.

3. Access and Use

You receive a limited, non-exclusive, non-transferable licence to use the Platform for your own law-practice, firm, or academic purposes.

Please do not:

• share passwords or allow unauthorised access;
• copy, scrape, re-publish, or commercially resell our content or AI outputs;
• attempt to reverse-engineer or interfere with the software;
• upload harmful, unlawful, or defamatory material.

Reasonable downloads, exports, and printouts for client work are permitted.

4. User Content and Confidentiality

All files, drafts, client data, and communications uploaded by you ("User Content") remain your property.

Vakeel AI only processes this information to deliver the Services you have chosen and does not claim ownership.

We maintain strict confidentiality of all client and matter data stored within the Platform.

You agree to upload only content that you are authorised to share and to manage access rights for your team members responsibly.

5. AI Outputs and Professional Responsibility

AI Legal Research, research summaries or drafts, are for reference and support only and a professional oversight is recommended.

They are not a substitute for independent legal analysis or advice.

Always verify important information against authentic sources or official court records before use.

6. Subscriptions and Payments

Plans are billed in advance (monthly or annually). All fees are exclusive of applicable taxes and are payable through our approved payment gateways.

Subscriptions renew automatically unless cancelled before the next billing date.

Except where required by law or expressly stated in a specific offer, payments are non-refundable.

7. Cancellations, Refunds and Plan Changes

Cancellation by You:
You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing cycle, and you will continue to have access to the Platform until that date.

Refunds:
Subscription fees are generally non-refundable, as services and resources are provisioned immediately upon payment.

However, refunds may be considered in limited circumstances such as:

• duplicate payments due to technical error;
• proven billing inaccuracies;
• a verified service failure directly attributable to Vakeel AI within the first 10 days of a new subscription.

All refund requests must be made in writing to _______@vakeelai.com within 10 days of the charge.

Upgrade or Downgrade:
You may upgrade your plan at any time. The change takes effect immediately and a pro-rated amount will be billed.

Downgrades take effect from the next billing period.

Termination by Vakeel AI:
We may suspend or terminate your account for non-payment, misuse, or violation of these Terms.

In such cases, prepaid fees will not be refunded, except where termination occurs without cause on our part, in which case a pro-rated refund for the unused period will be issued.

Processing of Refunds:
Approved refunds will be processed to the original payment method within 7–10 working days after approval.

8. User Conduct and Community Features

When using Vakeel AI Social, chat, or video tools, please interact with courtesy and professionalism.

Do not harass, impersonate, spam, or share private or confidential content without permission.

We reserve the right to remove content or restrict accounts that violate community standards or law.

9. Third-Party Integrations

Certain features (such as payments, storage, video, or analytics) may rely on trusted third-party providers.

While we strive to work only with reliable partners, their services operate under their own terms and policies.

10. Service Availability

We work to keep our systems stable and secure, but temporary interruptions may occur for maintenance or circumstances beyond our control.

Services are provided on an "as is" and "as available" basis.

11. Intellectual Property

All software, interface designs, databases, models, and trademarks belong to Vakeel AI Solution Private Limited or its licensors.

You shall not copy or use them except as permitted under these Terms.

All rights not expressly granted remain reserved.

12. Disclaimer and Limitation of Liability

We make every effort to ensure that the Platform and its features perform reliably and that the information or outputs generated are useful and accurate.

However, as with any digital or AI-driven service, occasional errors or interruptions may occur. As with any AI tool, a professional oversight is recommended.

Accordingly:

• The Platform and its features are provided on a best-efforts basis without any express or implied warranties regarding absolute accuracy, completeness, or suitability for a particular purpose.
• Vakeel AI will not be liable for any indirect or consequential losses such as loss of data, revenue, or business opportunities arising from the use of the Platform.
• In all cases, our total cumulative liability for any claim shall not exceed the total subscription fees paid by you for the service during the twelve (12) months preceding the event giving rise to the claim.

13. Indemnity

You agree to indemnify and hold Vakeel AI harmless from any claims arising out of your breach of these Terms or misuse of the Platform.

14. Updates to Terms

We may revise these Terms from time to time to reflect Services or policy changes.

Significant updates will be communicated in advance and will take effect on the stated date.

Continued use after that date constitutes acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India.

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform, the parties agree that the courts at New Delhi, India, shall have exclusive jurisdiction.
